CATHAL COUGHLAN 'ASUNDERLAND' TERMS AND CONDITIONS OF DOWNLOAD

1. License Grant
   Cathal Coughlan, trading as 'Beneath Music' (the "Licensor") makes available to you ("You" or "Licensee") for download one (1) file containing the component tracks of the final recording entitled "Asunderland" by Cathal Coughlan (the "Original Author") from the website at www.cathalcoughlan.com (the "Website") in accordance with the terms of the accompanying license to prepare remixes, take samples and synch with videos (the "Derivative Works") in accordance with the terms and conditions below. Under the terms of the accompanying license, any Derivative Works that you create must be licensed to the public under the same terms as that accompanying license.
   For the purpose of the accompanying license, "Non-Commercial" shall mean the right to distribute the Works and Derivative Works on a free and non-monetary basis only to third parties for the sole purpose of promoting the Works and Derivative Works to the public and shall specifically exclude any distribution for commercial purposes or remuneration of any kind whatsoever or any commercial tie-in or endorsement of any products or services.
   For the avoidance of doubt, these terms prevail in the event of and to the extent of any inconsistencies.
2. Our Rights
   The Licensor and/or its affiliates shall be entitled to distribution of the Derivative Works for Non-Commercial purposes (as defined above) throughout the world save that In the event that the Licensor elect at their discretion to commercially exploit the Derivative Work then You hereby agree to enter into good faith negotiations with Licensor.
3. The Warranties and Conditions
   1. You must not
      1. sell, exploit, license, sub-license, make available or otherwise distribute the Derivative Works (or musical works or lyrics embodied therein) other than for Non-Commercial purposes (as defined above) and other than as provided under the terms of the accompanying license;
      2. sell, exploit, license, sub-license, make available or otherwise distribute the Work(s) (or musical works or lyrics embodied therein) other than as provided for under the terms of the accompanying license;
      3. sell, exploit, license, sub-license, make available or otherwise distribute the final recording entitled "Asunderland"
      4. assign any of the rights and/or interest in and to the Derivative Work to a third party without the prior written consent of Licensor;
      5. violate any laws nor constitute a libel or slander of any person and shall not infringe upon or violate any other right of any person;
      6. use any third party copyright protected material in the Derivative Works (or in any musical works or lyrics embodied therein) without express permission of that third party to license such material in accordance with these terms and the terms of accompanying license.
   2. You must be 18 years or older to download the Work and agree to these terms.
   3. These rules are governed by the laws of England and Wales.
   4. You hereby acknowledges that the Work remains the property of Beneath Music in respect of all Territories and Cathal Coughlan in respect of the musical work. You further acknowledge that nothing in these terms or the accompanying license gives you any rights in and to the final recording entitled "Asunderland"
